JLC Marketing LLC – Terms of Service
1. Acceptance of Terms
By accessing or using JLC Marketing LLCs (“The Lasko Company”, “TLC”) Website, Services, or Platform (collectively known as “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use our services.
These Terms apply to all users of TLC’s Platform, including clients, their representatives, employees, contractors, and other authorized users (collectively known as “Users”). If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
2. Scope of Services
TLC provides payment processing, payroll compliance, workers’ compensation coverage, onboarding support, and related services for productions in the fashion and beauty industries.
Specific service terms may be included in a separately signed agreement between you and TLC, which will govern in the event of any conflict.
3. Account Registration and Security
To use certain services, you may need to create an account. You agree to:
- Provide accurate, complete, and current information at all times.
- Maintain the security of your account credentials and promptly notify TLC of any unauthorized access or suspected breach.
- Be fully responsible for all activities under your account, whether or not authorized by you.
TLC reserves the right to suspend or terminate accounts where security is compromised or these Terms are violated.
4. User Responsibilities
You agree to provide all information necessary for TLC to process payments, onboard workers, and maintain compliance. This includes, but is not limited to, accurate tax information, worker details, project data, and invoices. You are solely responsible for ensuring that all information is accurate, complete, and timely.
5. Workers’ Compensation Coverage
TLC will provide or enroll covered workers in applicable workers’ compensation policies, provided those individuals are disclosed to TLC before they begin work. Coverage amounts, terms, and conditions are subject to change with notice. A current certificate of workers’ compensation insurance will be provided upon request.
6. Payment Terms
Payment terms, rates, and service fees are governed by a separate signed service agreement with TLC and are not published in this Terms of Service.
7. Use of the Platform
You agree to use TLC’s Platform only for lawful purposes and in compliance with these Terms. Prohibited activities include:
- Unauthorized access or use of TLC Platform, associated systems or data
- Reverse engineering, modifying, or creating derivative works of the Platform
- Introducing viruses, malware, or harmful code
- Posting, uploading, publishing, submitting, sharing, distributing, or transmitting any content that: (i) you lack the authority to post, upload, publish, submit, share, distribute, or transmit; (ii) infringes, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (iii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iv) is fraudulent, false, misleading, or deceptive; (v) is defamatory, indecent, obscene, pornographic, vulgar, or offensive; (vi) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vii) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (viii) promotes illegal or harmful activities or substances
- Harvest or scrape any Content from the Platform
- Attempt to access or search the Platform, or download content from the Platform through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, or the like), other than the software and/or search agents provided by TLC or other available third-party web browsers;
- Access the Platform for the purposes of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes
- Use the Platform or any portion thereof, (i) for any purpose other than User’s internal business purposes, or (ii) for the benefit of any third party or in any manner not permitted by these Terms
- Engaging in fraudulent or misleading activity
- Using the Platform in violation of applicable law, including wage and hour laws
- Violate any applicable law, rule, or regulation, or the National Automated Clearing House Association Operating Rules, as they may be amended from time to time (as amended, the “NACHA Rules“)
- Resell, sublicense, timeshare, or otherwise share the Platform with any third party
8. Platform Availability
TLC makes no representation or warranties about the Platform uptime, availability, or permissibility in any particular geographical location. From time to time, scheduled maintenance or emergency maintenance may be conducted and during such maintenance periods the Platform may not be accessible with or without notice to the User.
TLC is not responsible or liable for any delays or failures in performance from any cause beyond our control, including, but not limited to, acts of God, pandemics, state, local or federal orders, including emergency orders or health orders, changes to laws or regulations, embargoes, wars, terrorist acts, acts or omissions of third-party technology providers, riots, fires, earthquakes, floods, power outages, strikes, weather conditions, acts of hackers, acts of internet service providers, acts of any other third party, or acts or omissions of User. The Platform’s performance of actions initiated by User may irrevocably modify and/or delete User Content.
USER ACKNOWLEDGES AND AGRESS THAT TLC IS NOT RESPONSIBLE FOR THE LOSS OR MODIFICATION OF ANY USER CONTENT AND THAT USER’S USE OF THE PLATFORM IS AT USER’S OWN RISK.
9. Third-Party Services
TLC’s services may integrate with or link to third-party services (“Third-Party Services”). These are provided solely for your convenience. TLC does not control and is not responsible for Third-Party Services, including their security, accuracy, or functionality.
By choosing to use a Third-Party Service, you authorize TLC to share the information necessary for that service to operate. You are solely responsible for ensuring the accuracy of such information and for complying with any terms required by the Third-Party Service provider.
10. Intellectual Property
All TLC content, branding, designs, software, and platform features are owned by TLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, distribute, display, or modify our materials without prior written consent.
11. Confidentiality
TLC will treat your business and worker information as confidential and will only share it as necessary to provide the services or as required by law. Our handling of personal information is further detailed in our Privacy Policy.
12. Disclaimers
TLC provides services “as is” and makes no warranties, express or implied, regarding uninterrupted or error-free operation. We do not guarantee any specific results and are not your legal, tax, or accounting advisors. You should seek independent professional advice for those matters.
13. Limitation of Liability
To the fullest extent permitted by law, TLC is not liable for any indirect, incidental, special, or consequential damages arising from or related to your use of our services or platform. TLCs total cumulative liability in connection with these terms and conditions, the service, or TLC content, whether in contract, tort or otherwise, will not exceed Fifty Dollars ($50).
14. Indemnification
You agree to indemnify, defend, and hold harmless TLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of your:
- Use of TLC’s Platform or any associated services
- Breach of these Terms or any signed agreement between you and TLC
- Violation of applicable law or third-party rights, including wage and hour laws
15. Arbitration and Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
Except where prohibited by law, any dispute, controversy, or claim arising out of or relating to these Terms, the platform, or the services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration will take place in Los Angeles, California. You waive your right to a jury trial or to participate in a class action, except where prohibited by law.
16. Changes to Terms
TLC may update these Terms at any time. Updates will be posted on our website, and continued use of the services after changes are posted constitutes your acceptance of the revised Terms.
17. Termination
Either party may terminate services provided by TLC. Sections of these Terms relating to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution will survive termination.
18. Force Majeure
TLC is not responsible for delays or failures caused by events outside our reasonable control, including natural disasters, power outages, internet failures, acts of government, or labor disputes.
